Agreement and scope
These terms govern access to PortX websites and any PortX product or service that refers to them. By using a service, you agree to these terms and any product-specific terms, order form, subscription terms, or signed agreement that applies. If a signed agreement conflicts with these website terms, the signed agreement controls for that engagement.
Eligibility and authority
You must be legally able to enter into these terms. If you use a service for an organisation, you confirm that you have authority to bind that organisation and that references to “you” include the organisation where appropriate.
Accounts and security
You must provide accurate information, keep account credentials confidential, and promptly notify PortX of suspected unauthorised access. You are responsible for activity performed through your account unless applicable law or a product agreement provides otherwise.
Acceptable use
You must use PortX services lawfully and must not compromise security, disrupt availability, gain unauthorised access, misuse another person's data, introduce malicious code, evade usage controls, infringe rights, or use a service to facilitate unlawful or harmful conduct.
Client responsibilities
You are responsible for timely decisions, lawful instructions, permissions, source materials, access to relevant systems, and the accuracy of information supplied to PortX. You must have the rights and legal basis required to provide any data or content used in an engagement.
Fees, billing, and taxes
Prices, billing cycles, payment dates, supported methods, and applicable taxes are stated at checkout, in a product notice, or in a signed agreement. Late or unpaid amounts may result in restricted access after reasonable notice, subject to applicable law and the governing agreement.
Intellectual property
PortX and its licensors retain rights in PortX software, product designs, branding, documentation, methods, and pre-existing materials. You retain rights in content you submit. You grant PortX the limited permissions needed to host, process, transmit, back up, and otherwise use that content to provide and secure the relevant service. Ownership of commissioned deliverables is governed by the applicable signed agreement.
Confidentiality and data
Where confidential information is exchanged, each party must protect it and use it only for the agreed purpose, subject to any separate confidentiality agreement. Personal data is handled under the PortX Privacy Policy and any applicable data-processing agreement.
Third-party services
A PortX service may interoperate with third-party platforms, networks, stores, or payment providers. Their availability and terms are controlled by those providers. PortX is not responsible for third-party services, but we remain responsible for our own obligations under applicable law.
Changes, suspension, and termination
We may improve, replace, or discontinue features and may suspend access where reasonably necessary for security, maintenance, legal compliance, non-payment, or a material breach. Where practical, we will provide notice. Cancellation, handover, refunds, and data availability are governed by the applicable product terms, agreement, and published policies.
Warranties and liability
PortX will provide services with reasonable care and skill. Except for rights that cannot lawfully be excluded, services are provided subject to the warranties stated in the applicable product or signed agreement. Liability limits, exclusions, and remedies are governed by that agreement and applicable law. Nothing in these terms excludes liability that cannot legally be excluded.
Governing terms and changes
Applicable law and dispute procedures may be stated in a product notice or signed agreement. We may update these terms to reflect changes in our services, operations, or legal obligations. Material changes will apply from the date shown on this page unless another date is required by law.
